(TSXV: KWE) (TSXV: KWE.WT.U) (NASDAQ: KWE) (NASDAQ: KWESW) ("KWESST" or the "Company"), announced today that the Company received written notification (the "Notification Letter") from The Nasdaq Stock Market LLC ("Nasdaq") on May 16, 2024, indicating that the Company is not in compliance with the minimum bid price requirement set forth in the Nasdaq rules for continued listing on Nasdaq, which requires listed securities to maintain a minimum bid price of US$1.00 per share ("Minimum Bid Requirement"). Based on the closing bid price of the Company's common shares for the 30 consecutive business days from April 4, 2024 to May 15, 2024, the Company failed to meet the Minimum Bid Requirement set forth in Nasdaq Listing Rule 5550(a)(2) during that period.

KWESST Lightning TM SaaS app will be used in a pilot project to assist Red Cross disaster relief efforts. KWESST will showcase the Lightning TM app at the Canadian Association of Chiefs of Police conference. The Company has been awarded a contract with CounterCrisis Tech for a proof of concept project to provide a situational awareness app for Canadian Red Cross emergency operations, starting in May and ending in October 2024.
